1. Acceptance of Terms

By using DropInBlog ("DiB" or the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree with these Terms, you may not use the Service.

2. Description of Service

DiB provides customers with the ability to integrate blog content via script or API integration.

3. User Account Responsibilities

  • Users are responsible for maintaining the security of their accounts, including safeguarding their passwords and preventing unauthorized access.
  • Users agree to provide accurate and complete information upon registration and to keep this information current and accurate.

4. Billing and Payments

Enterprise Customers (Invoice Billing)

  • Enterprise plans require annual invoicing with a minimum annual amount of $3,000.
  • Invoices must be paid within 30 days (Net 30) of receipt.
  • No refunds will be issued for partial terms.
  • A late fee of 1.5% per month will apply to overdue invoices.
  • Service will be suspended if payment is more than 15 days late.
  • Customers must provide at least 45 days written notice to cancel before the annual renewal date.

Standard Customers (Monthly/Annual Subscription via Credit Card)

  • Monthly or annual subscriptions are automatically charged to the customer's credit card.
  • Payments are due immediately upon invoice issuance.
  • Accounts overdue by more than 15 days will be suspended until payment is received. Continued non-payment beyond 30 days may result in termination.
  • No refunds are issued for partial billing periods upon cancellation.

5. Intellectual Property and Content Ownership

  • All rights to software, code, and DiB proprietary content remain with DiB.
  • Users retain ownership of their content but grant DiB a license to display and distribute it as necessary to provide the Service.
  • Users are solely responsible for ensuring their content does not infringe on any third-party rights.

6. Confidentiality

Both parties agree to keep confidential all proprietary or sensitive information disclosed during the relationship, except as required by law.

7. Prohibited Uses

Customers may not use DiB to engage in or promote illegal activities, send spam, abuse network resources, distribute malware, infringe intellectual property rights, harass or defame others, or otherwise misuse the Service in any manner deemed inappropriate or harmful by DiB. Violation of these terms may result in immediate suspension or termination of service.

8. Third-Party Integrations

DiB integrates with third-party services, such as Cloudflare, Google Analytics, and Zapier. DiB is not responsible for the functionality, terms, or privacy practices of third-party services. Users must comply with the terms of these third-party services. DiB shall not be liable for any disruption, loss of functionality, or damages resulting from issues related to third-party services.

9. Security Practices

DiB follows industry-standard security practices, utilizing reliable and reputable hosting and infrastructure providers to safeguard customer data. We continuously monitor, evaluate, and update our security practices to protect against unauthorized access and data breaches. DiB conducts regular security updates and monitoring to protect against vulnerabilities and unauthorized access.

10. Data Handling and Privacy

  • DiB retains customer data for up to 6 months after account termination.
  • Customers may request immediate deletion of their data at any time.
  • Customers can export all their data via CSV at any time from their account.
  • During account suspension, data remains intact and accessible upon account reactivation.
  • Use of the Service is also governed by DiB's Privacy Policy, available at https://dropinblog.com/privacy, which is incorporated by reference into these Terms.

11. Modification of Service

DiB reserves the right to modify, enhance, or discontinue features or functionalities of the Service, with advance notice provided where practical.

12. Warranty Disclaimer and Limitation of Liability

  • DiB is provided "as-is" without warranties of any kind.
  • DiB's liability is limited to the fees paid by the customer in the 12 months preceding a claim.
  • DiB shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

13. Indemnification

Both parties agree to indemnify and hold harmless the other from claims, damages, or losses arising from their respective breaches of these Terms or misuse of the Service.

14. Assignment

Either party may assign or transfer this agreement without consent in connection with mergers, acquisitions, reorganizations, or sales of substantially all of its assets. In all other cases, assignment requires the prior written consent of the other party.

15. Relationship of the Parties

This agreement does not create an agency, partnership, or joint venture relationship between DiB and the customer.

16. Amendments

DiB reserves the right to modify these Terms. Customers will receive notification via email or website notice at least 30 days before changes become effective.

17. Termination

DiB reserves the right to terminate service upon 15 days written notice for violations of these Terms or non-payment. Immediate termination may occur for severe breaches.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed according to the laws of the State of Wyoming, USA. Any disputes arising from these Terms shall be resolved through arbitration in Wyoming in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules.

19. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

20. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, terrorism, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
